Kozzi Space Inc. Terms of Service

Welcome to Kozzi Space Inc. ("Kozzi Space," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website (https://www.kozzispace.com), mobile messaging services, and all related services and products, including the sale and delivery of prefabricated and container-based housing units (collectively, the "Services").

By accessing or using our Services, you agree to these Terms and our Privacy Policy located at https://www.kozzispace.com/policies/privacy-policy. If you do not agree, please do not use our Services.

 

1. Scope of Services
Kozzi Space designs, manufactures, and sells prefabricated housing units, commercial container buildings, and related services such as customization, delivery, permitting assistance, and post-sale support.

 

2. Eligibility
You must be at least 18 years old to use our Services or purchase products. If you use our Services on behalf of a company or organization, you represent that you have the authority to bind that entity.

 

3. SMS & Mobile Messaging Terms

  • Consent for SMS: By opting in, you agree to receive automated and manual text messages from Kozzi Space for project updates, billing, and appointments.

  • Privacy & 10DLC Compliance: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

  • Opt-Out: Reply STOP at any time. For assistance, reply HELP.

  • Frequency & Rates: Message frequency varies by project (up to 10/day during active builds). Message and data rates may apply.

  • Example Message:
    "Hi [Customer Name], this is a reminder about your upcoming appointment with Kozzi Space on [Date] at [Time]. We look forward to seeing you!"
    To opt out, reply "STOP" to unsubscribe. Message data rates may apply. Messaging frequency may vary. For assistance, reply "HELP."
  • Standard Messaging Disclosures:
    • To opt out of SMS communications, simply reply with "STOP."
    • For assistance or inquiries, reply with "HELP."
    • Message and data rates may apply.
  • Sample Response for "HELP" Reply:

  • Message Frequency: You may receive approximately 5-10 messages per day related to your requests. However, the frequency may vary depending on the nature of the communication.
  • Opt-In Method:
    You may opt-in to receive SMS messages from Kozzi Space in the following ways:
    • By submitting an online form
    • Opt-Out Method:
      You can opt-out of receiving SMS messages at any time. To do so, simply reply "STOP" to any SMS message you receive. Alternatively, you can contact us directly to request removal from our messaging list.
  • Additional Options:
    If you do not wish to receive SMS messages, you can choose not to check the SMS consent box on our forms.

 

4. User Responsibilities
You agree to:

  • Provide accurate and current information

  • Use the Services only for lawful purposes

  • Refrain from reselling, redistributing, or misusing content or services

 

5: Orders, Payments & Production

5.1 Non-Refundable Milestones: Due to the custom nature of container-based manufacturing and procurement, all milestone payments are 100% non-refundable once production, engineering, or material procurement has commenced.

5.2 No Right of Set-Off or Suspension: Buyer shall pay all invoices in full when due according to the Milestone Schedule. Buyer has no right to withhold, set-off, or suspend payment due to alleged delays, disputes, or dissatisfaction. All disputes must be handled via the "Right to Cure" process (Section 7) after payments are cleared.

5.3 Design Freeze & Change Orders: All specifications are "Frozen" upon signature of the Build Sheet. Any changes requested after the Design Freeze are subject to a $500.00 administrative fee plus the cost of materials and labor. Any change order will result in an automatic reset of the production timeline and void all prior estimated completion dates.

 

6: Delivery, Logistics & Supply Chain

6.1 International Force Majeure: Kozzi Space Group LLC (“Kozzi Space”) utilizes a global supply chain. We are not liable for production or delivery delays caused by international shipping disruptions, port congestion, customs inspections, or changes in trade tariffs. Such events shall extend the production timeline by the duration of the delay without penalty to Kozzi Space.

6.2 Material Substitutions: Due to global supply chain fluctuations, Kozzi Space reserves the right to substitute materials or fixtures of equivalent or superior quality without prior notice, provided the substitution does not materially alter the structural integrity or general aesthetic of the design.

6.3 Detention & Storage: Buyer is responsible for site readiness. Offloading delays exceeding two (2) hours will result in detention fees of $250.00/hour. Units not accepted for delivery within seven (7) days of completion will incur storage fees of $250.00/day.


6. Delivery, Site Readiness & Logistics

  • Buyer Responsibility: You are responsible for all site foundations, local permitting, and utility hookups.

  • Detention Fees: Kozzi Space provides a two (2) hour window for unit offloading. Any delays on-site caused by Buyer unreadiness will be billed at $250.00 per hour.

  • Storage Fees: If the site is not ready for delivery within seven (7) days of project completion, a storage fee of $250.00 per day will apply and must be paid before the unit is released.

6.3. Global Supply Chain & Force Majeure

Buyer acknowledges that certain components, materials, containers or raw steel used in the fabrication of the Unit may be sourced internationally. Kozzi Space Group LLC is not liable for production delays caused by international shipping disruptions, port congestion, customs inspections, or changes in trade tariffs. Such events shall be considered a Force Majeure event, and the production timeline shall be extended by the duration of the delay without penalty to the Seller.

 

6.4 Freight Volatility: All shipping and logistics quotes provided are estimates based on current market rates. Final freight costs will be invoiced at the time of transport. Buyer is responsible for any "Surcharges" or "General Rate Increases" (GRI) imposed by international carriers.

 

7. Warranty & Right to Cure

  • Manufacturer’s Warranty: Details are provided per unit.

  • Right to Cure: In the event of a defect, Kozzi Space retains the exclusive Right to Cure. Buyer must provide written notice and allow a 30-day window for repair. Unauthorized third-party repairs void all warranties and will not be reimbursed.

 

8. Intellectual Property & Confidentiality

  • Proprietary Designs: All architectural drawings, modular layouts, container modifications, and technical specifications are the exclusive property of Kozzi Space Group LLC.

  • No Reverse Engineering: Unauthorized use, reproduction, or "reverse engineering" of Kozzi Space designs for the purpose of competing manufacturing is strictly prohibited.

  • Liquidated Damages: Any breach of this Intellectual Property section shall entitle Kozzi Space to liquidated damages in the amount of $500,000.00 per occurrence, plus attorney’s fees.

 

Section 9: Limitation of Liability

9.1 No Consequential Damages: Kozzi Space is not liable for indirect, incidental, or consequential damages, including but not limited to lost business revenue, loss of use, or secondary site costs arising from production or delivery delays.

 9.2 Liability Cap: Total liability for any claim is limited strictly to the amount paid to Kozzi Space for the specific Unit in question.

 

10: Dispute Resolution & Legal Provisions

  • 10.1 Governing Law & Venue: These Terms are governed by the laws of the State of Alabama. Any legal action must be filed exclusively in Jefferson County, Alabama.

  • 10.2 Binding Arbitration: Both parties waive the right to a jury trial.

  • 10.3 Severability: If any provision of these Terms is found to be unenforceable or invalid by a court, the remaining provisions shall remain in full force and effect.

  • 10.4 Entire Agreement (Merger Clause): These Terms, along with the signed Master Purchase Agreement and Build Sheet, constitute the entire agreement between the parties. No oral promises, text messages, or informal emails shall modify these terms unless executed in a formal written Change Order signed by both parties.
